Voici l'article:

24 October 2005 by Christine Idzelis

INTERACTIVE BROKERS BIDS FOR REFCO UNIT

Global brokerage firm Interactive Brokers Group LLC has surfaced as a second bidder for Refco Inc.'s regulated futures business.

Greenwich, Conn.-based Interactive submitted a $790 million bid late Thursday, Oct. 20, 6% more than the $768 million offer from private equity firm J.C. Flowers & Co., which signed a memorandum of understanding with Refco on the eve of its bankruptcy filing Oct. 17.

Bankruptcy Judge Robert Drain has scheduled a hearing Oct. 24 to establish procedures for the auction of the futures unit.

Refco filed for bankruptcy protection after revealing that about $430 million on its books was in fact owed by its CEO, Phillip R. Bennett.

J. Gregory Milmoe at Skadden, Arps, Slate, Meagher & Flom LLP is lead debtor's counsel.

Gary Mennitt, Martin Nussbaum, Charles Weissman and Glenn Siegel of Deckert LLC in New York are counsel to Interactive, which has not retained an outside financial adviser.

The J.C. Flowers stalking-horse bid is backed by Enstar Group Inc., another Flowers-controlled entity, and private equity investors Silver Point Capital LP, MatlinPatterson Global Advisers LLC and Texas Pacific Group.

J.C. Flowers was scheduled to submit a formal asset purchase agreement the afternoon of Friday, Oct. 21, that would include a 2.8% breakup fee.

Flowers was the first to come to the table with an offer, which gives it some advantage, said Denise Valentine, senior analyst at Celent Communications LLC in New York.

At that point, "we didn't know how bad things were looking," she added, saying the firm risked "stepping up to the plate" before it could fully assess the extent of the damage.

Win or lose, Flowers should come away with at least the breakup fee, which would come to $21.5 million.

In addition to Interactive, sources said a Dubai investment group advised by Blackstone Group LP was also eyeing Refco assets.

The interest from several bidders confirms that Refco's core business is sound, Valentine said. Though a number of clients have pulled their assets, if the sale process moves quickly Refco may be able to win some of them back, she said.

Refco officials did not return calls by press time.

At a hearing late Thursday, Drain approved Refco's emergency cash collateral motion, giving it access to its cash assets.

IB ouvre des comptes à patir de 2500 dollars sur tous supports;

Merci.
Bons trades.
